Internal Committee Governance

Internal Committee Setup & Reconstitution Support

Structure, constitute or reconstitute your Internal Committee with clearer appointment documentation, role architecture, governance controls and organisation-specific implementation support. The scope can include a fact-specific assessment of the Section 4(2)(c) member requirement; “External Member” is commonly used shorthand for that statutory member.

When Your IC Structure Needs Attention

Committee setup is often prompted by a practical change, not a generic compliance exercise. We begin with the organisation’s operating context and existing governance records, then clarify which constitution questions can be addressed through a scoped setup engagement.

01

Constituting an Internal Committee for the first time and needing a documented route from organisation structure to appointments.

02

A member resigns, becomes unavailable or a vacancy needs attention before governance records fall out of date.

03

Appointment records, tenure or change controls need review because the current record does not show clear ownership.

04

A new workplace, location or organisational unit changes the operating context and raises location-specific questions.

05

The existing committee structure no longer maps cleanly to the organisation, workforce or administrative model.

06

The organisation needs to separate governance setup from IC capability training and ongoing committee practice.

Initial review

To scope constitution support, PIH typically reviews structure, locations, committee status and available appointment records—not complaint facts. The review can identify whether the Section 4(2)(c) member requirement needs separate assessment; “External Member” is commonly used shorthand for that statutory member, and this setup service is not presented as an External Member engagement.

This early fact-finding is intended to make the engagement proportionate. It identifies the records and decision-makers needed for a constitution or reconstitution pathway, distinguishes a governance question from an IC capability question, and flags where the organisation should obtain separate legal verification instead of relying on a generic structure.

  • Organisation and workplace structure
  • Relevant locations or administrative units
  • Current IC status and available constitution records
  • Member, term and vacancy status

Committee Architecture Map

Designing the Right Committee Architecture

A practical governance map connects the organisation’s structure, committee records and change controls without replacing the legal source material. It helps an employer turn a constitution question into a documented set of ownership, appointment and transition actions.

Organisation context → documented structure → maintained controls

  1. 01

    Map the operating context

Review the workplace, location and administrative structure relevant to committee constitution, including the practical perimeter for appointments and records.

  2. 02

    Review the structure

Assess proposed or current membership against applicable requirements and organisation-specific questions, identifying points that require fact-specific legal verification.

  3. 03

    Document appointments

Support written constitution or reconstitution documentation, role records and term tracking so authorised stakeholders have a usable governance record.

  4. 04

    Set transition controls

Clarify vacancy, tenure and change actions so governance records remain usable as the organisation evolves, rather than being reconstructed after a change occurs.

The map is PIH's implementation method, not a restatement of statutory wording. It gives authorised stakeholders a disciplined way to connect location and workforce context with appointment records, role responsibilities and controlled transitions. Where the organisation's facts raise a question that cannot be answered from the agreed records, the next step is to identify that dependency rather than imply a universal solution.

For the legal framework and composition rules, see Section 4 of the POSH Act. Location-specific questions may require separate legal verification.

Operational hand-off

From Constitution to Operational Readiness

The aim is a clearer governance hand-off: tangible records, defined responsibilities and appropriate next steps—without turning setup support into control of the committee’s work. Setup work can clarify the employer’s governance role while preserving the committee’s decision-making remit for matters within its statutory role.

Typical outputs

Outputs are tailored to the agreed organisation, locations and current records. They create a practical implementation trail for authorised stakeholders; they do not replace statutory interpretation, decide a complaint or convert the committee into an employer-controlled function.

  • Constitution or reconstitution action list
  • Reviewed or proposed appointment documentation
  • Member and term matrix
  • Governance and responsibility notes
  • Vacancy or transition actions where required
  • A next-step orientation or training plan where relevant
